SUBSCRIPTIONS.

By registering for an account with Us, You become a “Subscriber” with access to certain password-restricted areas of the Service and to use certain Services and Materials offered on and through the Service (a “Subscription”). Each Subscription and the rights and privileges provided to each Subscriber are personal and non-transferable. All payments of Subscription fees will be in Euros and are non-refundable, except as otherwise explicitly stated herein.

The fee that We will charge You for Your Subscription will be the price stated in the attached Purchase Order. We reserve the right to change prices for Subscriptions at any time and do not provide price protection or refunds in the event of promotions or price decreases.

To access or use the ZigZag Network Services or Documentation for the purpose of developing or operating products or services intended to be offered to third parties in competition with the ZigZag Network Services or allow access by a direct competitor of ZigZag Network;

To reverse engineer, decompile, disassemble, copy, or otherwise attempt to derive source code or other trade secrets from or about any of the ZigZag Network Services or technologies, unless and then only to the extent expressly permitted by applicable law, without consent;

To use the ZigZag Network Services or Documentation in a way that (i) violates or infringes upon the rights of a third party, including those pertaining to contract, intellectual property, privacy, or publicity; or (ii) effects or facilitates the storage or transmission of libelous, tortious, or otherwise unlawful material including, but not limited to, material that is harassing, threatening, or obscene;

You agree to hire attorneys to defend Us if You violate these Terms and that violation results in a problem for Us. Unless otherwise specified in these Terms, all Materials, including the arrangement of them on the Service are Our sole property. All rights not expressly granted herein are reserved. Except as otherwise required or limited by applicable law, any reproduction, distribution, modification, retransmission, or publication of any copyrighted material is strictly prohibited without the express written consent of the copyright owner or license.

INTELLECTUAL PROPERTY INFRINGEMENT.

We respect the intellectual property rights of others and encourage You to do the same. ARBITRATION

Unless otherwise agreed by the parties, arbitration will be held in San Francisco, California before a single arbitrator mutually agreed upon by the parties, or if the parties cannot mutually agree, a single arbitrator appointed by JAMS, and will be conducted in accordance with the rules and regulations promulgated by JAMS unless specifically modified in these Terms. The arbitration must commence within forty-five (45) days of the date on which a written demand for arbitration is filed by either party. The arbitrator’s decision and award will be made and delivered within sixty (60) days of the conclusion of the arbitration and within six (6) months of the selection of the arbitrator. The arbitrator will not have the power to award damages in excess of any limitations on actual compensatory, direct damages set forth in these Terms and may not multiply actual damages or award punitive damages or any other damages that are specifically excluded under these Terms, and each party hereby irrevocably waives any claim to such damages. The arbitrator may, in his or her discretion, assess costs and expenses (including the reasonable legal fees and expenses of the prevailing part) against any party to a proceeding. Any party refusing to comply with an order of the arbitrators will be liable for costs and expenses, including attorneys’ fees, incurred by the other party in enforcing the award. Notwithstanding the foregoing, in the case of temporary or preliminary injunctive relief, any party may proceed in court without prior arbitration for the purpose of avoiding immediate and irreparable harm.
